The Office of Strategy Management (OSM) at Zamil
Group organized the annual TAWASUL conference at the Mövenpick hotel on Wednesday 20 January
2010. Over 115 delegates representing Zamil Group Executive and Senior Management from affiliate
operating companies as well as the Corporate Center participated in the one day event.
The Group Strategy towards 2015 and
the process to establish the strategy management system for the Group were explained and
communicated. An overview of the methodology and interim results of the research initiative started
by OSM to scan economic sectors to shortlist the most attractive ones for diversifying the
Group’s core industries was presented.
Dr. Saeed Al Shaikh, Senior Vice President,
National Commercial Bank, was guest speaker of the event. He presented key economic indicators for
2010.

Canadian
Ambassador visits Zamil Group HQ

HE David Chatterson, Ambassador of Canada to
the Kingdom of Saudi Arabia and Mr. Richard Dubuc, Commercial Counselor, visited Zamil Group Head
Office on Monday 18 January 2010. They were greeted on arrival by Messrs. Hamad Al Zamil and Tawfiq
Al Zamil who introduced them to Vice Presidents and General Managers from the Group who attended the
brief introduction and meeting.
Representatives from joint ventures
with Canadian partners introduced their companies and products. Canadian nationals working at Zamil
Group were also present at the meeting.
The Ambassador expressed his satisfaction and
promised to visit some of the factories on his next visit to Zamil Group.

Family Business
Forum Organized by Zamil Group

Zamil Group organized a major forum for
business leaders in Saudi Arabia and Bahrain on Tuesday 12 January 2010. More than 120 leaders of
prominent family businesses participated in the all day event held at the Mövenpick hotel in Al
Kohbar.
Many families were represented by two
generations at the forum which was purposely designed to focus on family values, succession
planning, transferring ownership, managing expectations, and most important governance for the sake
of business sustainability. Other topics pertaining to wealth management, separation of family from
business, internal conflict resolution were discussed. The audience engaged in many debates with
Peter Leach who cited many live cases from around the world.
Peter Leach of Loedstar, Geneva, Switzerland
author of 'Family Businesses: The Essentials' and a reputed adviser, researcher and speaker on
family business, facilitated the forum and lectured the audience on the importance of governance in
business. Drawing from his vast experience he presented a number of case studies on family
businesses in different countries and cultures in Asia and the West.

Thirty senior executive leaders
representing various Zamil Group sector businesses participated in a Leadership and Strategy
workshop titled 'Leading and Managing in Difficult Times, Re-Inventing your Business
Strategy'.
The leadership course, organized by
Corporate HR at Zamil Group, was facilitated by Dr. Paul Tiffany, Professor and Senior Lecturer at
the Haas School of Business at the University of California, Berkeley. The group convened over two
days on Monday and Tuesday first and second June at the Carlton Al Moaibed Hotel in Al Khobar to
review and analyze the current global financial situation, its impact on business and draw a
lesson-learned-strategy-forward.
The workshop is one of a series of learning
events sponsored and organized by Zamil Group.

Lebanese American University Delegation

A delegation led by Dr. Joseph G. Jabbra,
President of the Lebanese American University (LAU), visited Zamil Group on Tuesday 14 April 2009.
Mr. Hamad A. Al Zamil, Vice Chairman, led the delegation on a tour of Zamil Steel and Zamil Air
Conditioners manufacturing facilities.
The delegation also included Dr.
George E. Nasr, Dean of the School of Engineering and Agriculture, and Mr. Samir F. Kadi, Vice
President for Development. The group was given a presentation by Mr. Hatem Turki, Marketing Manager,
about Zamil Steel's remarkable historical development from its core business of design and
manufacture of pre-engineered steel buildings, to structural steel and telecommunication and
transmission towers to process equipment and recently to open web steel joists and decking. The
company has nine manufacturing sites located in Saudi Arabia, UAE, Egypt, Vietnam and
India.
At Zamil Air Conditioners the presentation
given by Mr. Ahmed Zaatari, General Manager, Unitary and Applied Business Unit, focused on the
R&D and lab testing facilities, as well as the Original Equipment Manufacturer program where
Zamil Air Conditioners produces branded window and split units for leading international
manufacturers. He briefed the audience about the company’s newest joint ventures with
Armacell, Hudson Products Corp, Advantec Coils Pvt. Ltd. and others. .
The LAU delegation wanted to explore
the opportunity of establishing closer relations between theory and application by introducing a
sponsorship program by Zamil Group for selected students to get their training and employment career
at Zamil Group.
Hamad A. Al Zamil hosted a small
luncheon at the conclusion of the visit honoring the LAU delegation.

Zamil Family Future Leaders met on
Tuesday 31 March 09 at the Carlton Al Moaibed hotel to assess the leadership transition strategy and
its readiness. Future Leaders, previously known as Zamil Third Generation members, gathered in small
groups for a structured feedback session followed by general preview of anticipated organization
restructure at the corporate center level to enhance governance and sustainability.
Khalid Al Zamil, Managing Director,
Strategic Planning, Zamil Group, represented the Talent Committee. He welcomed all participants and
spoke to them about the family business, the challenges and moral and social responsibilities. He
stressed the importance of role modeling the family values which have been the pillars of the family
image and brand equity. Faith, modesty, tolerance and patience are at the core of senior family
members’ behavior. He also emphasized the impact of the family and its business on communities
wherever Zamil Group operations may exist.
This was followed by a question and
answer session where all junior family members took turn to raise business issues and family matters
in a conducive and proactive ambiance. Some had to brief the audience on company projects started
recently and other joint ventures under formation.
Dr. Abdulrahman Al Zamil, Chairman,
Zamil Group, joined the young group for the family luncheon at the conclusion of the
meeting.

Managers and Staff complete Presentation Skills course

Consistent with the Group's commitment to
provide continuing training and development opportunities to its staff, Corporate Human Resources
conducted an in-house program on Basic Presentation Skills for managers and staff of Zamil
Group.
Twenty three (23) managers and staff
from various operating companies and affiliates of Zamil Group completed the two-day course which
was held March 23-24, 2009 at the Carlton Moaibed Hotel in Al Khobar. Hekmatt Semaan, Director of
Corporate HR and Communications, welcomed the participants to the program and reiterated how
enhanced skills will add value both to the participants’ current jobs and long-term career
plans.
This batch is the first among three
groups of participants slated to take the course. The next program run is set for April 21 and 22,
2009 at the same venue.
The training program, which was
designed for managers and staff who need to make oral presentations as part of their jobs, attracted
a diverse mix of participants across functional areas of sales, marketing, purchasing,
manufacturing, quality, management, finance and human resources. Among the Companies represented in
the course were: Zamil Plastic Industries, Zamil Group Holding Company, Zamil Commercial Division,
Zamil Offshore Services Co., Zamil Steel, Al Nodum Real Estate and Gulf Stabilizers.
Highlight of the program was the final
session which required participants to deliver individual 10-minute presentations to demonstrate
their confidence and skill in preparing and delivering presentations, including the preparation and
use of visual aids and handling question-and-answer sessions. These individual presentations were
videotaped for one-on-one feedback sessions.
The course which was designed,
developed and conducted by Corporate HR Manager, Elmore M. Francisco, is part of a year-long
training calendar that is being implemented by the Corporate Human Resources Department of Zamil
Group Holding Company.

Construction of the future Zamil Group
Head Office 'Zamil House' is well under way at the Corniche Road in the city of Al Khobar. It is
forecast to complete on schedule in the last quarter of 2009. The 17 storey building will be fitted
with the most advanced lighting, monitoring and telecommunication systems.
In addition to its appealing classical look,
Zamil House will feature the first high rise structural steel building, similar to Zamil Tower in
Manama, Kingdom of Bahrain. Privileged residents will also enjoy a superb panoramic view of the city
and the Arabian Gulf in addition to unmatched support services and facilities.
Zamil Group Holding Company will
relocate to ‘Zamil House’ towards the end of this year, as soon as the building is made
ready.

Progress on the
Ethyleneamines Project

Huntsman Corporation announced that
its ethyleneamines joint venture plant currently under construction in Jubail, Saudi Arabia, is
proceeding on schedule and is expected to meet the mechanical completion target of November
2009.
The joint venture, known as Arabian
Amines Company, was created by Huntsman and the Zamil Group to construct a world-scale
ethyleneamines plant using Huntsman's proprietary technology.
The parties expect the plant to be
fully commissioned and in production in the first quarter of next year. The plant will have the
capacity to produce approximately 30,000 MT/yr of ethyleneamines, including ethylenediamine (EDA),
diethylenetriamine (DETA), triethylenetetramine (TETA) and higher molecular versions. The plant was
also designed to enable the economical addition of a second world-scale train within the next
several years, which would double the plant's ethyleneamines capacity.
"Once completed, the addition of
this plant to our current production capacity will make Huntsman the world's largest ethyleneamines
producer. Products from this facility will be sold globally and we believe our technology along with
the plant's location in Jubail will bring incomparable global production economics as we meet the
ever-growing market demand for these products over the next several years," said Stu Monteith,
Vice President of Performance Specialties at Huntsman.
Ethyleneamines are specialty chemicals
that serve as end products in the production of the growing wind blade market, agricultural
applications, laundry detergents, and lube oil additives for gasoline and diesel
engines.

Over 80 senior executives, heads of
business units and managers representing various Zamil Group companies participated in the Corporate
Center forum named 'TAWASUL'. The event convened on Wednesday 21 January 2009 at Carlton Al Moaibed
hotel in Al Khobar.
Khalid A. Al Zamil, Managing Director,
Strategic Planning and Business Development, Zamil Group, welcomed all participants and stressed
upon the critical importance of the Corporate Center’s contribution to the direction and
sustainability of the Group. He emphasized that excellence is a journey not a destination and Zamil
team of professionals is expected to excel in everything they do.
Mahmoud Al Sayyed, Head of Corporate
Strategic Planning, Zamil Group, presented the 'TAJDEED' initiative that aims at boosting the
effectiveness of the Corporate Center in supporting various boards as well as Group
companies.
Abdullah M. Al Zamil, COO, Zamil
Industrial, shared with participants the success of the Balanced Score Cards (BSC) initiative
introduced in 2002 at Zamil Air Conditioners and Zamil Steel. This strategy management system has
proven to be of immense value to management.
Mohammed Bara Al Murad, Business
Excellence Manager, Zamil Group, presented an analysis update on business and portfolio review for
all Zamil Group operating companies. He invited companies to be as proactive in contributing data
and experience. Recognition Certificates were awarded to the most improved companies.
Brad Bourland, Chief Economist, Jadwa
Investments, key note speaker of this event, offered a perspective on the global financial crisis
and its impact on the Gulf region. The analysis indicated that recovery from this financial crisis
will take place towards the third quarter of 2009.
The forum was a great opportunity for
the Group executives for networking, exchanging thoughts on stressing issues and sharing best
practices among the Group subsidiaries.

Zamil Offshore
Services launched the third Rolls Royce AHTS 'Zamil 54'

Last week Zamil Offshore Services launched
'Zamil-54', the third Rolls Royce UT 733-2 AHTS, built at its "Shipyard" port marine yard,
located inside King Abdul Aziz Port in Dammam.
This vessel is the third of seven vessels of
the same design to be built under license agreement from Rolls Royce Marine- Norway. The vessels are
built to the American ABS class.
Zamil Shipyard has a full order book
and will be busy with new buildings to mid 2012.
Other vessels on order include four
more UT AHTS, one buoy handling vessel, five tugs and one diving support vessel.

A joint delegation representing Zamil
Group and Zamil Offshore Services (ZOSCO) participated in the 21st Lloyd's Shipping Finance and
Investment Conference 2008 in London, and met with eight prominent marine consultants and brokers
seeking their assistance in developing ZOSCO's mid to long term strategy.
The conference program was specially
tailored to highlight the shipping downturn and impact of the global financial crises on the
shipping and shipbuilding industries.
The speakers covered in detail the
prospects and challenges for key shipping sectors including: short sea shipping, dry bulk sector,
tanker market, container sector and the investment opportunities in the offshore sector. The panel
discussions focused on the anticipated effect of the crisis and on owners' options and the value in
shipping today.

Reconvenes Strategy Workshops

Senior Executives and Heads of
Corporate functions at Zamil Group participated in a series of workshops towards the creation of an
'Effective Corporate Center'. The workshops were held consecutively at the Head Office and the
Intercontinental Hotel, Al Khobar, from 1 November to 5 November 2008. The strategy workshops
started early this year are led by Marakon Associates.
Cognizant of the challenges ahead,
Zamil Group aims to create a new model for running the 'Corporate Center' that combines practices
from the best family managed and publicly quoted companies and for implementing world class
corporate planning. The objectives are to facilitate the transition process of the second family
generation to the third generation, to support decision making and sustain Zamil Group well into the
future. These workshops are forecast to continue for the next two years.

"Maintenance According to
International Norms" was the theme of the seventh International Exhibition held under the
auspices of HRH Prince Sultan Bin Abdulaziz at the Intercontinental hotel in Riyadh from 26 to 29
October. Zamil Operations and Maintenance and many leading regional companies participated in the
event, organized by the Arab Institute for Operations and Maintenance.

The Exhibition became an excellent

challenges and the diminishing resources and budgets dedicated for O&M works.
The Exhibition enabled participants to
discuss issues of common interest among them concerning operations and maintenance of industrial
buildings, roads, airports, and power and desalination plants. Many workshops and discussion groups
were organized alongside the exhibition to allow for better coordination and sharing of knowledge
among participants.

Khalid Al Zamil was the special guest speaker at
the Chamber of Commerce, Eastern Province, on Tuesday 21 October 2008. He took part in a special
program launched by the Chamber titled 'My Experience' for the 'Youth Council’. He reflected
upon his family's successes and was in direct contact with the young Saudi audience invited to
inquire about the speaker and his family.
Khalid Abdullah Al Zamil, Managing Director,
Corporate Strategic Planning and Business Development, Zamil Group, a veteran businessman who
witnessed the transformation of the Kingdom of Saudi Arabia, has been a relentless advocate of
development and modernization of the Kingdom. Zamil Group and many other Saudi business families
continue to contribute towards the transformation of the Kingdom.
Khalid Al Zamil engaged his audience
with his passionate account of his family's unique business legacy, from a modest start in Bahrain
to Al Khobar in the Eastern Province of the Kingdom of Saudi Arabia, to Vietnam and the business
expansion around the globe in over three decades. He also spoke of the secrets behind the success
and sustainability of the family's business, his own education, his personal business experience and
the social volunteer work at the Chamber and many other councils. He addressed specifically the
young Saudi entrepreneurs about the fear of God, fidelity and the rigors and self-discipline for
success, drawing upon his own family’s experience with IPO’s and the courage and
foresight of taking public the family business. He stressed that success is not measured in material
wealth only, but also in giving back to community and being socially responsible.
The audience connected well with
Khalid Al Zamil. He joked with them and elaborated on his answers. He stressed upon the importance
of successful business leaders posing as sincere role models for youth in society.

Sponsors Youth Summer Training

Zamil Group sponsored the training of 78
students as part of its social responsibility program. The students completed their summer training
at a specialized Academy in Riyadh. The training courses consisted of Basic English language,
Computer Operation and Development of good Business Habits and Ethics.
This is part of the regular on-going
training programs at outside training centers and academies sponsored by Zamil Group. The objective
is to develop basic talents and equip Saudi Youth with skills they can deploy in the
workplace.

Industries Recognized for Good Environmental Practice

Gulf Industries Stabilizers was recognized by
The Royal Commission of Jubail and Yanbu for its Environmental Performance in 2007 under the
'Environmental Award for Secondary Industries'. All companies in Jubail come under the scrutiny of
the Royal Commission as it monitors their action and Performance.
This Recognition, endorsed by the
General Director of the Royal Commission and awarded on 4 June 2008, is consistent with GSI social
responsibility strategy.

Zamil Offshore Services celebrated on
Sunday 22 June the inauguration of the Anchor Handling/Tug/Supply Vessel 'Zamil 52'. This is one
seven additional units to be constructed by the company under license from Rolls Royce
International. The Company also celebrated the delivery of the diesel-electric AHTSS Anchor Handling
Tug converted to Diving Support Vessel to operate within Zamil Offshore Services' fleet contracted
out to Saudi Aramco.

'Open Tennis Tournament'

The Kingdom's 'Zamil Industrial Open
Tennis Championship' took place on the courts of the Olympic Village in Riyadh from 2 to 25 May
2008. Citizens and residents from all ages and professional qualifications competed during this
event.
Fahad Al Saad, the Kingdom's top seed
player and third in the GCC was champion in the professional group. Zaki Abdullah won first place in
the youth division and Walid Al Sayyah also won first place in the junior category. Mike Tony,
American, and Ali Mandeva, Pakistan, both clinched first place in the junior competition Group A and
B.
Ajlan Al Ajlan, General Manager,
Riyadh Central Region, representing Zamil Industrial, the sponsor of this championship, handed over
trophies and cash rewards to winners. He expressed his gratitude for the organizers and this
pleasure for the high competition spirit amongst players. He also stressed upon Zamil Industrial's
engagement role with society and its support of various sporting, educational and social events in
the Kingdom.

Saudi corporate personalities in different sectors ranging from industrial, to banking, to social

King’s visit to the Eastern Province who inaugurated many projects initiated at
KFUPM.

Awards Zamil O & M 10 AHTS Vessels Contract

Saudi Aramco has awarded Zamil
Operations & Maintenance a contract for the delivery and operation of 10 Anchor
Handling/Tug/supply Vessels. These vessels will serve Aramco's offshore rigs and platforms in the
Arabian Gulf. The award of this unprecedented contract to Zamil reflects the level of trust Saudi
Aramco holds for Zamil O&M, and demonstrates Zamil's commitment to deliver superior services to
its clients.
Currently, Zamil's Ship Building
Division is constructing a series of state-of-the-art anchor handling tugs / supply vessels under
license from Rolls Royce Marine - Norway. Four of these new vessels will be delivered to Saudi
Aramco upon completion, to join its sisters under operation under this contract. This is the first
time Saudi Aramco awards Zamil 10 vessels under one single tender. This award is the result of
Zamil's continuous efforts in providing Aramco with high standard, advanced vessels exceeding their
operational requirements and services.

Economic Forum

Under the auspices of HRH Princess
Jawaher bint Naif Abdulaziz, the Ladies Economic Forum was held for the first time from 26 to 28
April at the Eastern Province Chamber of Commerce. The Forum aims at encouraging entrepreneurial
ladies to invest in small and medium size projects, as well as providing assistance in dealing with
financing challenges. The forum also showcases the institutions supporting such small and medium
size projects in the Kingdom of Saudi Arabia.
Zamil Group, through its AHZ Community
Services Center, participated in the event by sponsoring the forum’s award. Ms. Muneerah Ahmed
Al Zamil thanked Her Royal Highness for her presence, as well as the Business Women’s Center
at the Chamber of Commerce of the Eastern Province, for their unrelenting and critical support
towards such initiatives creating awareness for the institutions financing small projects. Ms. Al
Zamil spoke also about corporate social responsibility towards community, the environment, and the
national economy. Finally she briefed the audience about the role and objectives of the AHZ
Community Services Center.

French Business
Delegation Visits Zamil Group

A
group of French executives representing leading multinational companies and banks visited Zamil
Group Head Office on Wednesday 9 April 2008. Mr. Jean-Claude Daupeyroux, Economic and Commercial
Counselor at the Embassy of France in Riyadh, Saudi Arabia, accompanied the delegation led by Mr.
Thierry Jacquillat, President, Paris-Ile de France Capitale Economique.
Mr. Hamad Al Zamil and a group from
the Head Office Corporate Center and different Zamil affiliates received the delegation in the
executive conference room. Representative guests from different industrial, commercial and service
sectors as well as investment institutions were given the opportunity to brief the audience with the
aim of promoting investment opportunities, bilateral commercial relations and trade between France
and the Kingdom of Saudi Arabia.

Learning Promoted at Zamil Group

Management staff from various industrial and service sectors of Zamil Group convened for
three days to participate in the 'Goal Setting and Strategic Planning' course facilitated by senior
strategy consultant Mr. John Maiorino. The seminar, organized by Zamil Group for all group companies
and affiliates, was held at the Carlton Al Moaibed hotel from Sunday 16 March through Tuesday 18
March 08.
